DC Capital Partners: Pure Defense and Government Plays

Overview:

Founded in 2007, Washington DC based DC Capital Partners is a middle market private equity firm focused on making controlling equity investments in primarily US based middle market companies. The firm’s partners are currently using their own capital for investments while in the process of raising a US$150 to US$200 million fund. To date, DC Capital has completed eight transactions - five of which were in its first year of existence. Sectors of focus include defense, aerospace, and other federal government sectors such as outsourced government services, government IT, intelligence, homeland security, and defense electronics. Specific areas of interest include cyber security, open source intelligence, and biometrics.

Ÿ          Thomas J. Campbell (the President and Founder of DC Capital) has over 20 years of private equity, investment banking, and merchant banking experience. Prior to founding DC Capital, he was a partner with Veritas Capital, a senior member of the Merchant Banking Group of Wasserstein & Perella, an officer and member of the Acquisition Finance Group of Manufacturers Hanover Trust, and a staff accountant at Coopers and Lybrand. Thomas is currently the Chairman of National Interest Security Company (NISC) and the Chairman of Elite Training & Security. He has been responsible for and/or monitored investments and served as a Board member of HITCO Technologies, Integrated Defense Technologies, TRAK Microwave, Vertex Aerospace Corporation (formerly “Raytheon Aerospace”), DynCorp International, Continental Electronics, Enterprise Electronics, Athena Innovative Solutions, The Wornick Company, McNeil Technologies, and Trawick Associates.

Ÿ          Gail Dady (Partner) also serves on the Board of Directors of the National Interest Security Company, Elite Training & Security, and The SPECTRUM Group. Prior to Joining DC Capital, Gail was a Principal at Veritas Capital, a consultant with The SPECTRUM Group, a Managing Director with Quarterdeck Investment Partners, and served for 20 years in the United States Navy attaining the rank of Commander where she completed assignments with the Chairman of the Joint Chiefs of Staff and the Commander of Allied Forces Southern Europe.

Ÿ          Douglas T. Lake Jr. (Partner) also serves on the Board of Directors of Elite Training & Security. Prior to joining DC Capital, Douglas worked at Veritas Capital and for the Telecom, Media, & Technology Group of JP Morgan Securities.

Ÿ          Founded in 1987, Chantilly Virginia based Kaseman provides mission critical operational support in four areas: 1) anti-terrorism, counter-terrorism, and counter-narcotics training; 2) technical security advisory and assessment services, and risk analysis; 3) engineering and construction management, facilities operations and maintenance; and 4) systems engineering. Customers include key federal government agencies such as the Department of State and the Transportation Security Administration. In June 2008, DC Capital Partners acquired Kaseman for an undisclosed amount with the intention of making the acquisition the centerpiece of "a new platform" (Elite Training and Security) providing training, security, and logistics services to various government agencies.

Ÿ          Founded in 1998, Rocket Center West Virginia and Fairfax Virginia based Information Manufacturing Corporation (IMC) ->provides a full spectrum of IT and knowledge management services including integrated data capture, convergence, manipulation, mining, exploitation, delivery, and storage systems and solutions. Majors customers include the Intelligence Community, the Department of Defense, and other federal agencies. In December of 2007, DC Capital Partners acquired IMC via the National Interests Security Company (NISC) for an undisclosed amount.

Ÿ          Founded in 1977, Gaithersburg Maryland based Technology and Management Services provides management technology consulting and IT services. Customers include US Government executive departments and agencies such as the Department of Energy and the Department of Homeland Security. DC Capital acquired the company for an undisclosed sum together with Omen Inc. and the combined entities will operate under the National Interests Security Company (NISC) umbrella.

Ÿ          Omen Inc. was the former intelligence services unit of Global Analytic Information Technology Services and provides sophisticated software and systems engineering services to the Intelligence Community. The company’s core expertise include data acquisition, content management, information dissemination, collection and analysis of communications, and electronic intelligence. Omen was acquired for an undisclosed sum together with Technology and Management Services and the combined entities will operate under the National Interests Security Company (NISC) umbrella.  

Ÿ          Founded in 1997, Columbia Maryland based Athenyx provides engineering and computer systems support for the design, acquisition, development, integration, deployment, and ongoing support of high performance information systems. Key customers include US government agencies (such as the Department of Defense, the Department of Energy, and NOAA), Space Imaging, Northrop Grumman, Lockheed Martin, and Raytheon. In December 2007, DC Capital Partners acquired Athenyx via the National Interests Security Company (NISC) for an undisclosed amount.

Ÿ          Founded in 1993, Washington DC based The SPECTRUM Group is comprised of over eighty associates - half of whom are retired senior military officers while the rest are former Ambassadors and other high level government officials and legislative experts. Services provided to government agencies and the private sector include business development, strategic planning, proposal review, and legislative support. In August 2007, DC Capital acquired a controlling interest in The SPECTRUM Group for an undisclosed amount.

Other portfolio investments include National Intelligence Support Services , a provider of IT services to the Intelligence Community; and Edge Consulting , a provider of technology and management consulting services (such as quantitative performance analysis, strategy development, technology assessment, and capability development) primarily for the US Intelligence and Defense communities.

The Bottom Line:

With three partners from Veritas Capital, a controlling interest in the SPECTRUM Group, and an a-list of ex-government, defense, and intelligence insiders - DC Capital Partners is a true “DC capital” firm. Moreover, with five transactions under its belt during its first year of operation and two investment platforms to build upon, expect DC Capital to become a major player for defense and government sector deals.
